PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SQUAREPICKS APPLICATION.

IMPORTANT NOTICE: SquarePicks operates as a sweepstakes. No purchase is necessary to enter or win. A purchase will not increase your chances of winning. Void where prohibited.

Sweepstakes Nature: All games hosted within the app are promotional sweepstakes. Winners are determined by random chance. No purchase is necessary to participate, and a free alternative method of entry is always available. All participants, regardless of entry method, receive equal opportunity to win. These games are not lotteries, gambling, or games of skill.

These Terms and Conditions ("Terms") govern your access to and use of the SquarePicks website, mobile application, and related services (collectively, the "Service"), operated by SquarePicks LLC ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service.

1. Eligibility

Age: The Service is intended solely for users who are twenty-one (21) years of age or older. Any access to or use of the Service by anyone under 21 is expressly prohibited.
Location: Participation is restricted to users physically located in eligible US states where our sweepstakes are legally permitted. Geolocation technology is used to verify location.
Void Where Prohibited: Participation is void where prohibited by law. The Company reserves the right to limit or restrict participation based on geographic or legal considerations at its sole discretion.
Representation: By accessing or using the Service, you represent and warrant that you meet all eligibility requirements.

2. Sweepstakes Rules

Official rules for specific sweepstakes contests offered through the Service, including entry periods, prize descriptions, winner selection methods, and specific conditions, will be made available for each contest. The following general rules apply:

No Purchase Necessary (Alternative Method of Entry - AMOE): Eligible users may receive one (1) free entry per weekly period into the designated "Premium Game of the Week" $1 entry fee contest. To enter for free, users may access the Sweepstakes tab within the Service and follow the instructions to submit their free entry. Limit one free entry per person per weekly period. Free entries are treated the same as paid entries in terms of winning eligibility.
Paid Entry: Users may also enter contests by purchasing squares using funds within their account balance using the following entry fee options: $1, $5, $10, or $20 per square.
Board Structure: Each board is a 10x10 grid containing 100 squares. Numbers (0-9) are randomly assigned to rows and columns only after a board is full or closes.
Winner Determination: Winners are determined based on the official score of the corresponding real-world sporting event at predefined intervals (end of Q1, Halftime, end of Q3, and Final Score). The square whose assigned numbers match the last digit of each team's score at these intervals wins that period.
Prize Distribution: For each board, there are four winning periods. Each winner receives 20% of the total prize pot (80% of total entry fees collected).
Odds of Winning: Odds of winning depend on the number of squares purchased/entered and the random assignment of numbers to the grid.
Disqualification & Fraud: We reserve the right to disqualify any participant who tampers with the entry process, violates the Terms, or engages in any conduct that is fraudulent, deceptive, or otherwise unlawful.

3. User Accounts

Registration: You must register for an account to use certain features of the Service. You agree to provide accurate, current, and complete information during the registration process.
Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
One Account Per Person: Each individual may only maintain one account. Multiple accounts are prohibited and may result in account termination.
User Conduct: You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Use automated scripts or bots
- Misrepresent your identity or eligibility
- Collude with other users

4. Payments, Fees, and Account Balances

Deposits

Payment Method: We currently process deposits exclusively through PayPal.
Minimum Deposit: $5.00 per transaction
Maximum Deposit: $1,000.00 per transaction
Daily Deposit Limit: $500.00 per 24-hour period
Availability: Funds are typically available immediately. eCheck transfers may take several business days.

Entry Fees

Purchasing squares will deduct the corresponding entry fee from your account balance.
Available entry amounts: $1, $5, $10, or $20 per square.

Payouts

Winnings are credited automatically to your account balance upon quarter completion.

Platform Fee

SquarePicks LLC retains 20% of total entry fees collected from paid contests as a platform fee.
The remaining 80% is distributed to winners (20% per quarter winner).

Withdrawals

Minimum Withdrawal: $5.00
Maximum Withdrawal: $10,000.00 per request
Frequency Limit: One withdrawal request per 24-hour period
Processing: Withdrawals are processed daily at approximately 2:00 PM ET
Identity Verification: Required before first withdrawal (including SSN for tax purposes)
Playthrough Requirement: Deposited funds must be used for at least one contest entry before withdrawal
Eligible Destinations: Withdrawals can only be sent to verified PayPal accounts previously used for deposits

Taxes

You are solely responsible for any taxes applicable to prizes you receive.
Winners earning over $600 in net winnings in a calendar year will be issued a Form 1099-MISC.
You may be required to submit a completed IRS Form W-9 before receiving payouts exceeding the $600 threshold.

5. Refunds and Cancellations

Incomplete Boards: If a paid board does not fill completely before the associated game starts, all entries for that board will be automatically canceled and entry fees refunded to users' account balances.
Canceled Games: If a scheduled sporting event is officially canceled, all entries for related boards will be voided and entry fees refunded to users' account balances.
Postponed Games: If a game is significantly postponed, we will follow official league rulings and communicate how associated boards will be handled (voided or rescheduled).
No Refunds for Completed Contests: Once a contest has concluded and winners have been determined, no refunds will be issued except as required by law.
Sweepstakes Boards: The weekly free entry board proceeds regardless of fill status; unclaimed squares become ineligible "house squares."

6. Account Termination

Termination by Company: We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent or deceptive conduct
- Tampering with the entry process
- Underage use or location violations
- Multiple account creation
- Any other conduct we deem harmful to the Service or other users
Termination by User: You may close your account at any time by contacting us at contact@squarepicks.com.
Effect of Termination: Upon termination, any remaining funds in your account balance will be available for withdrawal according to our standard withdrawal procedures, subject to any outstanding obligations or legal holds.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of SquarePicks LLC and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service without written permission.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR AVAILABILITY OF THE SERVICE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for any delays, failures, or interruptions due to circumstances beyond our control.

9. Limitation of Liability

IN NO EVENT SHALL SQUAREPICKS LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you have paid us in entry fees during the twelve (12) months prior to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless SquarePicks LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.
Arbitration: Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in Wyoming.
Class Action Waiver: By using the Service, you waive the right to participate in class actions or jury trials.
Informal Resolution: Before initiating arbitration, you agree to contact us at contact@squarepicks.com to attempt informal resolution.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

Email notification to your registered email address
Prominent notice within the Service
Updated "Last Updated" date on this page

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any contest-specific rules, constitute the entire agreement between you and SquarePicks LLC regarding the Service.
